OWNERSHIP AND GOVERNENCE STRUCTURE

Since the founding of Egoli Gas in 2000, Cinergy Global Power sold the business to Cottesloe Investment Holdings in 2003.

Today, the Company's shareholders are Cottesloe Investment Holdings(CIH, 70% equity), Reatile Resources(RR, 25% equity) and Egoli Empowerment Holdings (EEH, 5% equity)

Cottesloe Investment Holdings

An investment company, which predominantly compromises of previous executive directors of Egoli Gas (Pty) Ltd, who were instrumental in the management buy-out of Cinergy Global Power in 2003.

Subsequent to the management buy-out and successful conversion to natural gas, the shareholders of Cottesloe Investment Holdings decided to segregate strategic direction from the implementation thereof, hence these directors are currently non-executive directors of Egoli Gas (Pty) Ltd. The founding shareholders and directors of Cottesloe Investment Holdings are Messrs Pierre Joubert, Jan van der Schyff and Quintus Joubert.

Reatile Resources (Pty) Ltd

The official company name is Reatile. It is a Tswana word, which, when translated and paraphrased, means 'We are growing' or more directly 'We have grown'.

Reatile is a black owned investment holding company formed in 2003 to take advantage of the opportunities presented by the economic transformation in industrial sectors of the South African economy. The founding members and executive management team are black professionals with a combined experience of over 50 years in these sectors.

Reatile's 25% shareholding in Egoli Gas (Pty) Ltd is through Reatile Energy, a wholly-owned subsidiary of Reatile Resources.

Reatile Energy also owns a majority equity stake in Reatile Gaz, a 55%:45% joint venture between Reatile and Engen. Reatile Gaz has grown dramatically with highlights being the purchase of the Liquefied Petroleum Gas (LPG) business in Air Products in 2007 and the incorporation of the Engen's LPG business in 2010.

Amongst other interests, Reatile Resources is also involved in the chemicals and the mining supports industries, and in the import, storage and distribution of petroleum products. All these activities occur on a national basis with some operations in neighbouring countries.

Reatile Resources is represented on the Egoli Gas (Pty) Ltd board by Simphiwe Mehlomakulu.

Egoli Empowerment Holdings

A 100% black economic empowerment investment holdings company, owned by historically disadvantaged South Africans (HDSA). The company specialises in investments predominantly in the energy sector. Egoli Empowerment Holdings is represented on the Egoli Gas (Pty) Ltd board by Sam Khanye.

Mr. JAN VAN DER SCHYFF

Jan has more than 19 years experience in the piped Gas Industry. He became a shareholder and Director of Egoli Gas (Pty) Ltd after the management buy-out of Cinergy Global Power process in 2003. 

Whilst being an executive manager within Egoli Gas, Jan was involved in the establishment of the regulatory environment in Local Government, initiated the changes to Gas Supply By-Laws and introduced the new Gas License By-Laws. He was also responsible for all operational and engineering activities as well as the Project Manager for the conversion of the Egoli pipe network from "town" gas to Natural gas.

Jan is currently instrumental in the strategic direction of the company and, as co-director, responsible for the financial stability of the company. Jan is specifically responsible for providing strategic direction on the design and maintenance of all gas infrastructure projects and services.

He holds a BEng Degree in Mechanical Engineering from the Rand Afrikaans University, as well as a Management Development Programme from Technicon Witwatersrand. Jan has also completed a Certificate Programme in Financial Analysis at the Witwatersrand Graduate School of Business Administration.

Mr. Pierre Joubert

Pierre is an Accountant.  With more than 20 years of working e xperience, he has gained extensive in-depth knowledge in the manufacturing, wholesale, retail, distribution and energy supply sectors. As an executive manager within Egoli Gas, Pierre was responsible for the full financial and commercial operational functions in the Company.

He was responsible for the managing and monitoring of financial performance, customer service, billing as well as credit control. He was also instrumental in setting up the Company's information technology database and in-support function management.

As a director of Egoli Gas, Pierre  plays an important role in the strategic direction of the Company. Pierre is specifically responsible for providing strategic direction on the Financial and Commercial functions of the business.

He holds  B. Comm. Accounting and B Comm. Accounting (Honours) from the Rand Afrikaans University. He is a qualified Charted Accountant (S.A), having completed his articles with Price Waterhouse. He has developed computer skills through in-house Training.

Mr. quintus joubert

Quintus has more than 40 years working experience, particularly within the Chemical Engineering field. He has been involved in the fields of Loss Control services, Gasification, production, process design, and as a quality controller.

He became a shareholder and Director of Egoli Gas (Pty) Ltd after the management buy-out of Cinergy Global Power process in 2003. Whilst being an executive manager (previous CEO) within Egoli Gas, Quintus` main responsibilities entailed, amongst others, to transform the Ex-Council department into a profitable private business, change the company culture into a team of achievers with a high level of productivity to decrease the unaccounted for gas, as well as a Safety Health and Environmental Programme.

As a Director of Egoli Gas, Quintus is instrumental in the strategic direction of the Company. Quintus is specifically responsible for strategic direction in the Human Resources, Industrial Relations as well as Safety Health and Environmental aspects of the business.

He holds a B Comm. Degree with the University of South Africa, as well as a National Higher Diploma in Chemical Engineering, National Diploma for Technicians, Chemistry and Plant Operators. Lastly he has a two year advanced certificate in Risk Management Programme.

Mr. simphiwe mehlomakulu

Sim joined Sasol Chemical Industries in 1993 as a Process Engineer in the Sasol Technology Division. In 1995, he was appointed to the Marketing Division of Sasol Phenolics as a Regional Sales Manager. For five years he was involved in the sales and marketing of various Sasol Chemicals products, both locally and abroad. He was appointed as Export Manager: India and Asia Pacific in the Solvents Division of Sasol in 1998 and in quick succession, as Global Export Manager.

In June 2000, Sasol Solvents won the President's Export Achievement Award for export achievement in the chemicals, plastics and pharmaceuticals category, achieved under Sim's leadership. In September 2000, Sim assumed the position of General Manager; Strategic Effectiveness for Old Mutual in Cape Town. He was appointed to PetroSA's Executive Committee in April 2002 as General Manager Trading Supply and Logistics; an important aspect of this function was the transformation of the SA petrochemical landscape in ensuring meaningful participation in the economy by previously disadvantaged individuals and communities

In 2003, Sim jointly founded the Reatile Group with Mr Leven Moodley. Sim holds a BSc in Chemical Engineering from the University of Cape Town, a Post-Graduate Diploma in Marketing Management from UNISA and an MBA from the University of the Witwatersrand.

Mr. sam khanye.

Sam is an appointed representative of Egoli Empowerment Holdings on the board of Egoli Gas. He is representing the interests of Mr. Maurice Radebe.

Sam worked in the Pharmaceutical Industry as a Sales Manager for over six years and is currently in the Office Furniture Business. Sam started his career as a high school teacher and progressed to become a school principal for eight years. He completed his Master of Business Administration (MBA) with the University of Cape Town graduate school of business.

Mr. bheki vilakazi : managing director

Bheki has more than ten years experience in the financial service industry, at both operational and strategic senior managerial levels.

He has been involved with Egoli Gas as a non-Executive Director from August 2006 and ultimately from February 2009 Bheki was appointed the Managing Director of Egoli Gas (Pty) Ltd. Within Egoli Gas Bheki is responsible for the operational and strategy implementation, coupled with management of a staff compliment of +-115, with an annual turnover of over R300 million.

Bheki graduated from the University of Witwatersrand with a Bachelor of Commerce and an Executive Development Programme from Wits Business School. Furthermore, Bheki completed a program on Corporate Governance conducted by Rand Afrikaans University (RAU) in conjunction with the Institute of Directors and Ernst & Young.
